Stock Spinoffs

I am seeking Information that any one would have on spinoffs, Like the conoco deal, only a 100% divesting of the secondary company from the parent. Would any one know of the SEC rules regarding this or where to look for other spinoffs that were sucessfull. I would love any and all information.
